COO -15% in one session, the largest single-day move it has printed in 100 days — and the “cause” our attributor picked is a Barron’s column whose own headline concedes Barron’s got Cooper wrong. It went out at 18:24 UTC and was logged 66 minutes ahead of the break. The first-party document had been sitting on EDGAR since the close of the evening before: a nine-month strategic review closed, and the board unanimously decided not to sell CooperSurgical.

MechanismPut the order straight first. After the close the previous evening, the company sent an 8-K to the SEC (linked from the COO row above) carrying two separate pieces of news: results for the most recent fiscal quarter, and the conclusion of the strategic review it had opened last December. The second press release attached to that filing is blunt — the board evaluated a sale of CooperSurgical, ran a process involving numerous parties, and unanimously concluded that holding on serves shareholders better than transacting at the offers on the table. It also names two temporary factors it believes depressed the valuation: a competitive entrant to the non-hormonal IUD market, and the fertility litigation settlement the company recently closed. The board widened the share repurchase authorization at the same time — but a buyback buys back stock, not a deal that is no longer going to happen. The option that had been hanging over the tape since late last year was closed by the company itself. The price moved in that order too. The decline was essentially complete in the gap at the 09-10 open; for the rest of the session the stock simply sat near where it opened (you can see it on the sparkline), on 6.7× baseline volume, at a sigma of -7.9, ranking 1st among single-day moves in 100 days, closing at 54.17 dollars. Now the flaw in this card itself. The attributor read the 18:24 UTC Barron’s piece as the catalyst, measured a 66-minute lag, and marked the break at 19:30 UTC — which is the heaviest-volume hour of the session, not the moment the price was reset. But that piece is headlined on getting Cooper wrong and on the contact-lens stock now looking cheap: it is a post-mortem written after the fall, not the reason for it, and the first-party document beat it by the better part of a day. We do not hand-edit that label — the tier and the lag are machine measurements, and editing them would stop this card from being a reproducible one. But it is written down here: the 66 minutes on the page measure the distance between an after-the-fact column and a late-session volume bar, not causation.
